These Terms of Service govern your access to and use of Subnetlens (the "Software"), a Windows desktop application published by HELIOSOFT LTD, a company registered in England and Wales (company number 17169454), registered office 128 City Road, London, EC1V 2NX ("we", "us", "our"). By downloading, installing, or using the Software you agree to these Terms. If you do not agree, do not use the Software.

1. Licence

We grant you a non-exclusive, non-transferable licence to install and use the Software:

• Free tier: core scanning, the network map, the device inventory, and eight essential tools — at no cost, for personal and commercial use.
• Pro tier: all features, on the number of machines permitted by your licence, for the licence period.

The Software is licensed, not sold. We retain all intellectual-property rights in it.

2. Acceptable use

You may only scan and manage networks that you own or are authorised to administer. Scanning networks without authorisation may be unlawful and is strictly prohibited. You agree not to:

• reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law;
• rent, lease, lend, sell, redistribute, or sublicense the Software;
• remove or alter any proprietary notices;
• use the Software for any unlawful purpose.

3. Pro licences and activation

Pro features require a valid licence key, validated online at activation and periodically thereafter, with an offline grace period. You are responsible for keeping your licence key confidential.

4. Payments

Pro licences are sold through our Merchant of Record, Paddle.com, who acts as the seller of record and handles billing, tax, and payment processing. Your purchase is also subject to Paddle's buyer terms. Cancellation and refund rights are set out in our Refund Policy.

5. Updates

A Pro licence includes one year of updates from the date of purchase. After that you may continue to use the version you have, or renew for continued updates. We may release updates but are not obliged to.

6. Disclaimer of warranties

The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law. You are responsible for how you use the Software and for compliance with all laws applicable to your network activity.

7. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or loss of data, profits, or business, arising from your use of the Software. Nothing in these Terms excludes liability that cannot be excluded under applicable law. Where liability can be limited, our total liability is limited to the amount you paid for the Software in the 12 months before the claim.

8. Termination

This licence terminates automatically if you breach these Terms. On termination you must stop using and delete the Software. Refunds, if any, are governed by our Refund Policy.

9. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction — without prejudice to any mandatory consumer-protection rights you have in your country of residence.
